&
Conditions

Last Updated: August 4th, 2025

These Terms of Service (“Terms”) explain the terms and conditions by which you may access and interact with the Succinct protocol (the “Protocol”), operated by or on behalf of Succinct Inc. (“Company”, “we” or “us”).

1. Use of the Protocol

By interacting with the Protocol through this website or application (the “Interface”), you acknowledge and agree to these Terms, and also agree that your use is entirely at your own risk. The Protocol is provided on an “as is” and “as available” basis without warranties of any kind.

2. No Custody or Guarantee

You acknowledge that the Protocol is non-custodial and governed by autonomous smart contracts. The Protocol operator (the “Operator”) does not take custody of your assets and cannot guarantee the security or functionality of the underlying blockchain networks or smart contracts.

3. Assumption of Risks

By participating in Protocol, you acknowledge and agree that you are engaging with a decentralized protocol that may carry inherent technical, operational, and cybersecurity risks. You are solely responsible for safeguarding your own digital assets and private keys, and for any actions taken from or affecting your wallet address.

You understand and accept that:

  • Staking involves risks, including loss of funds due to slashing, contract vulnerabilities, or validator downtime.
  • There is no guarantee of yield or return.
  • Withdrawals may be subject to delays, lock-ups, or changes in network conditions.

4. No Fiduciary Relationship

Your use of the Protocol does not create a fiduciary, advisory, or agency relationship between you and the Protocol’s developers, maintainers, or affiliated parties.

5. Compliance and Eligibility

You represent that you are not located in, or a resident of, any jurisdiction where the use of the Protocol would violate applicable laws or regulations. The Protocol is not intended for use by residents of sanctioned jurisdictions.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall the developers or maintainers of the Protocol be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Protocol, including but not limited to the following:

Wallet breaches:

The Operator is not responsible for any unauthorized access to or compromise of a user’s wallet, including but not limited to incidents involving phishing, private key theft, seed phrase loss, malware, or third-party wallet provider vulnerabilities. You acknowledge that you are solely responsible for the security and integrity of your wallet(s).

Protocol exploits or technical failures:

While the Protocol has been developed and tested to ensure reliable operation, the Operator makes no guarantees regarding the security, functionality, or performance of the Protocol. The Operator shall not be liable for any direct or indirect losses arising from:

  • Protocol-level vulnerabilities or bugs;
  • Exploits, attacks (including re-entrancy, flash loan, or oracle manipulation attacks), or smart contract failures;
  • Downtime, network congestion, or transaction delays;
  • Inaccurate or failed transaction execution due to on-chain conditions.

User error:

The Operator shall not be liable for any loss of funds resulting from user error, including but not limited to:

  • Sending assets to an incorrect or non-recoverable address;
  • Misuse of smart contract interfaces;
  • Failure to follow instructions, warnings, or guidance published by anyone affiliated with the Protocol;
  • Inadvertent use of unsupported networks, tokens, or wallets.

You are solely responsible for verifying all transaction details before confirming any staking activity.

7. Indemnity

You agree to indemnify, defend, and hold harmless the Operator and its affiliates, officers, employees, developers, and contractors from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising from your use of the Protocol, except to the extent caused by gross negligence or willful misconduct of the Operator.

8. Tax Responsibility

You are solely responsible for determining and fulfilling any tax obligations applicable to your staking rewards or other interactions with the Protocol. The Operator does not provide tax guidance or reporting services and bears no responsibility for your compliance with tax laws in your jurisdiction.

9. No Investment Advice

Nothing in the Interface or Protocol constitutes investment, financial, or legal advice. Participation in staking should not be construed as an offer or solicitation of any kind, and users should consult their own professional advisors before making any financial decisions.

10. Modifications

These Terms may be updated from time to time. Continued use of the Interface constitutes acceptance of any modifications.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms will be resolved by final and binding arbitration administered by JAMS under its rules. The arbitration will be conducted by one arbitrator in Wilmington, Delaware. Judgment on the arbitrator’s award may be entered in any court with jurisdiction.
